These Terms of Service ("Terms") constitute a legally binding agreement between LearnFire, the service provider ("LearnFire"), and our paying customers ("Client"). These Terms govern your use of the Services and outline the rights and responsibilities of both LearnFire and the Client ("Parties"). They are designed to ensure a fair and productive relationship for all parties involved.

 

Please read these Terms carefully before accessing or using our Services. Your enrolment in, or continued use of, LearnFire's services constitutes your acceptance of these Terms and any future amendments. If you do not agree with any of the provisions of these Terms, please leave our Sites immediately and do not use, access, enroll, or continue to use any of our Services. We reserve the right to modify or amend these Terms of Service at any time and for any reason, without prior notice. Such modifications shall be effective immediately upon posting on our website. Your continued use of our services following the posting of any changes constitutes acceptance of those changes. It is your responsibility to review these Terms of Service periodically for changes.

 

INTRODUCTION TO LEARNFIRE

LearnFire provides a wide range of educational support services for private individuals, schools and businesses. These services include, but are not limited to, three core areas: LearnFire Premium, LearnFire Unlimited and LearnFire On-Demand.

 

DEFINITION OF SERVICES:

  • LearnFire Premium:

Academic coaching, Tutoring, Teaching, Consulting and Supplementary Education Support delivered by subject specialists, experienced teachers and expert learning coaches. Services can be ultra-customised to the needs of each client. One-on-one or private groups, in-person or online.

 

  • LearnFire Unlimited:

Live online group classes delivered by our expert LearnFire Super Teachers online. Lessons are run on a fixed weekly schedule.

 

  • LearnFire On-Demand:

Online courses that help you to enjoy the flexibility of learning at your your own pace. Our on-demand courses are available 24/7, allowing you to tailor your learning schedule to fit your lifestyle needs.

 

REGISTRATION ELIGIBILITY AND REQUIREMENTS

  • Authorised Users:

    • Registration for LearnFire services is open to:

      • Custodial parents or legal guardians registering a minor student ("Student").

      • Students who are legally responsible for themselves (e.g., adults).

  • Acting on Behalf of Others:

    • By registering a Student, you confirm your status as their custodial parent or legal guardian and agree to these Terms on your behalf and theirs.

​

  • Optional Parent/Guardian Information:

    • The registration for our services allows providing information for a second parent/guardian ("Parent 2") and tertiary parent/guardian ("Parent 3"). Including Parent 2 and Parent 3 signifies their acceptance of these Terms and binds them accordingly.

​

  • Maintaining Account Accuracy:

    • We require accurate and complete information during registration. Please promptly notify us of any changes to your contact or student details.

​

  • Acceptable Use and Account Security:

    • LearnFire's services are intended for legitimate educational purposes only.

    • Your registration, username, and password are for your exclusive use and Student access. Sharing these credentials or allowing others (besides your Student) to utilise your account is strictly prohibited.

​

INFORMATION USAGE AND OWNERSHIP

The information, data, lesson plans, programs, videos, audio, and other materials ("Information") accessed or presented through LearnFire's websites and services ("Sites" and "Services") are the property of LearnFire or its licensors. This Information is protected by copyright and other intellectual property laws.

 

By using LearnFire's Sites and Services, you and your Student agree to the following:

  • You have no ownership rights to the Information.

  • You and your Student will not use, copy, or redistribute the Information without LearnFire's consent.

  • You will not allow others to use the Information beyond what's necessary for your Student's authorised use of LearnFire's Sites and Services.

THE TERMS OF SERVICE IS ORGANISED IN FOUR SECTIONS AS FOLLOWS:​

1. TERMS APPLICABLE TO LEARNFIRE PREMIUM

 

1.1 ADDITIONAL SERVICES PROVIDED APPLICABLE TO LEARNFIRE PREMIUM ONLY

 

1.1.1 LEARNING PLATFORMS

1.1.1.1 Tutorbird: Clients will be assigned login credentials for our TutorBird lesson scheduling platform. It is an all-in-one intuitive scheduling system that allows you to see lesson schedules & calendar view, receive notifications of upcoming lessons (if you want), reschedule or cancel lessons, see account records, billing breakdowns & invoices, see student attendance & teacher feedback/notes, see a record of email notification history from the platform, view your profile & details.

1.1.1.2 Google Classroom: Students may be given access to Google Classroom, which is a user-friendly platform that revolutionises the way teachers and students interact in the virtual learning space. Offering seamless integration with other Google Workspace tools, it provides a centralised hub for assignments, communication, and collaboration. 

1.1.1.3 Whatsapp Groups: In an effort to enhance communication and coordination among clients. Students and parents will be added to a WhatsApp group that includes the admin team and the teacher responsible for the lessons for the purpose of streamlined lesson scheduling, updates, and collaborative engagement communications. Permission will be sought from clients before adding them to the group. 

1.1.1.4 Online Video Meeting Platforms: Students may be given online video meetings links to access either Google Meet, Zoom, Skype or similar video meeting platforms to attend online lessons with a teacher. 
 

1.2 ADDITIONAL TERMS OF SERVICE APPLICABLE TO LEARNFIRE PREMIUM ONLY

 

1.2.1 CLIENT ACCOUNTS

1.2.1.1 Clients may be assigned an account to the aforementioned learning platforms and access details will be communicated by email. Client accounts are individual, and it is the responsibility of the clients to ensure the confidentiality of their account information.

1.2.1.2 Clients agree to provide accurate, current, and complete information during the onboarding process and to update such information to keep it accurate, current, and complete.

1.2.2 CLIENT RESPONSIBILITIES

1.2.2.1 Payments: 

1.2.2.1.1 Clients agree to pay the monthly fees in advance before the first lesson(s) of each month that are associated with the selected service plan agreed upon. We may change existing pricing plans and charges, or add new fees or charges, at any time, but no such changes will be applied for which you have already paid for. 

 

1.2.2.1.2 All fees and charges are non-refundable and will not be pro-rated for any partial use or termination of services. However, we strive to be fair and understanding. We may offer exceptions based on a thorough review of the situation and adherence to our Terms of Service. 

 

1.2.2.2 Billing Errors or Discrepancies: You will receive a lesson breakdown from us by email for any of our Services used by you or your Student. If you do not notify us of errors or discrepancies within 10 calendar days after they first appear on our statement, you will be considered to have accepted the stated amounts as being correct. We may refer to such acceptance if we receive any inquiries from you or relating to your account, and you hereby release us from all liability and claims of loss resulting from any error or discrepancy that is not so reported to us within 10 calendar days.

1.2.2.3 Use of Learning Platforms: Clients agree to use LearnFire’s learning platforms in accordance with all applicable laws and these Terms and Conditions.

​

1.2.2.4 Online Lessons Connection: It is client's responsibility to have a stable internet connection and to have tested the software and equipment you are using beforehand for online lessons. No refunds will be given for remote lessons that are shortened or missed because of technical issues on the client's end.

​

1.2.2.5 In Person Lessons

 

1.2.2.5.1 In-Person Lesson Location and Safety:

1.2.2.5.1.1 To ensure a productive and safe learning environment for both your student and the tutor, LearnFire requires information about the in-person lesson location. This includes the student's home address (if lessons occur there) or the specific location chosen by you, the parent/legal guardian.

1.2.2.5.1.2 Please note that by choosing the location, you are responsible for ensuring it's suitable for lesson conduct and provides a safe environment for both parties. This includes clear communication of all details needed to access the location.

1.2.2.5.1.3 Any withheld information regarding the location may result in lesson cancellation or service termination if the tutor reports difficulty finding, accessing, or feeling unsafe at the designated site. In such cases, the full lesson fee will still apply.

1.2.2.5.2 In-Person Lesson Illness Policy:

1.2.2.5.2.1 If your student feels slightly unwell but would still like their in-person lesson, please notify LearnFire immediately. This allows us to assess the situation and ensure the safety of both the student and the tutor.

1.2.2.5.2.2 For the safety of everyone, we encourage the use of face masks during in-person lessons, especially if someone is feeling under the weather.

1.2.2.5.2.3 Not informing LearnFire if your student is feeling unwell or has tested positive for COVID-19 and potentially exposes a tutor is a breach of these Terms and Conditions.

1.2.2.6 Public and School Holidays: During public holidays and school holidays in Portugal, we generally do not schedule lessons unless a student explicitly requests one and their tutor is available to accommodate it. We strive to inform and remind clients about upcoming holidays well in advance. However, the ultimate responsibility for being aware of these holidays and notifying us of any desired changes to your scheduled lessons rests with the client.

1.2.3 LESSON CANCELLATIONS

This policy outlines the terms and conditions for the cancellation of lessons provided by LearnFire Premium. Clients engaging in our academic coaching services agree to adhere to the following cancellation policy:

​

1.2.3.1 Cancellation Period: Clients are required to provide a minimum notice period of 24 hours for cancelling a scheduled lesson. The notice period is calculated from the scheduled start time of the lesson.

1.2.3.2 Cancellation Requests: Clients must submit a written cancellation request through the Whatsapp Group or via email. The cancellation request should include the date, time, and details of the scheduled lesson.

1.2.3.3 Late Cancellations: Cancellations made beyond the specified 24 hour notice period are considered late cancellations. Clients may be subject to the full lesson fee for late cancellations.

1.2.3.4 No-Show Policy: If a client fails to attend a scheduled lesson without prior notice, it will be considered a "no-show." The missed time is lost and will not be made up by prolonging the lesson past its original end time (or starting it early) or otherwise. In other words, you will be charged for the full scheduled lesson for any no-show or lateness, regardless of the actual time used.

1.2.3.5 Lesson Makeup and Credits: LearnFire may, at its discretion, offer makeup lessons or credits for future lessons in certain cases and subject to the teacher’s availability for the make-up lessons.

1.2.3.6 Emergency Situations: In the event of a genuine emergency, LearnFire will do its utmost to waive cancellation fees. Please contact us immediately to explain the situation, and we will support you as best as we can.

1.2.3.7 Repeated Cancellations: Clients with a pattern of repeated cancellations may be subject to additional review, and services may be discontinued at the discretion of LearnFire.

1.2.3.8 Cancelled lesson by LearnFire: Unfortunately, there may be occasions where we need to cancel, terminate early or reschedule lessons because of staffing availability, enrolment numbers, technical reasons, weather or other factors. We reserve the right to do so at any time, for any reason, without liability to you, but will always do our best to give you reasonable prior notice under the circumstances.

1.2.4 LESSON REFUNDS

At LearnFire, our commitment is to provide high-quality educational services to our users. We understand that circumstances may arise that lead to a need for a refund. To ensure fairness and transparency, we have established the following refund policy:

​

1.2.4.1 Satisfaction Guarantee: We are so confident that our well designed educational offerings are tailored to empower you. Our commitment to excellence is reflected in the professional curation of our classes, providing you with a rich learning experience. If you find that our services do not meet your expectations, you may request to cancel the services provided with 30-days notice. On cancellation, you will not be entitled to receive a refund or credit for any fees already paid for the lesson that have occurred, unless otherwise required by applicable law.

1.2.4.2 Lesson Cancellations: Fees for lessons that have been cancelled following the terms of this service agreement will be credited to the client's account to be used as credit for upcoming lessons.

1.2.4.3 How to Request a Refund: In special circumstances, a refund may be justified. To initiate a refund request, please contact our support team at info@learnfire.org with a clear explanation of the issue and any relevant documentation. Refund requests must be submitted within 48 business hours (2 working days) of the occurrence that prompted the request.

1.2.4.4 Refund Processing: Once a refund request is received, LearnFire will review and respond within two working days. Approved refunds will be processed no later than 60 days after receiving the user’s banking details. 

1.2.4.5 Refund Limitations: LearnFire has a limitation of one refund per client within a timeframe of 60 days.

1.2.5. OTHER ADDITIONAL FEES

1.2.5.1 Travel Surcharge: We strive to be transparent about our pricing. For some in-person lessons, a "Travel Surcharge" may be added to your statement to reflect the cost of the tutor's travel to your chosen location.

2. TERMS APPLICABLE TO LEARNFIRE UNLIMITED

 

2.1 ADDITIONAL SERVICES PROVIDED APPLICABLE TO LEARNFIRE UNLIMITED ONLY

 

2.1.1 LEARNING PLATFORMS

2.1.1.1 Google Classroom: Clients will be given access to Google Classroom, which is a user-friendly platform that revolutionises the way teachers and students interact in the virtual learning space. Offering seamless integration with other Google Workspace tools, it provides a centralised hub for assignments, communication, and collaboration. 

 

2.2 ADDITIONAL TERMS OF SERVICE APPLICABLE TO LEARNFIRE UNLIMITED ONLY

 

2.2.1 ClIENT ACCOUNTS

2.2.1.1 Clients must create an account to access LearnFire Unlimited. Clients accounts are personal, and Clients are responsible for maintaining the confidentiality of their account information.

2.2.1.2 Clients agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

 

2.2.2 CLIENT RESPONSIBILITIES

2.2.2.1 Payment:

2.2.2.1.1Client agrees to pay the fees associated with the selected service plan as outlined in the pricing agreement. We may change existing pricing plans and charges, or add new fees or charges, at any time, but no such changes will be applied for which you have already paid for. 

2.2.2.1.2 All fees and charges are non-refundable and will not be pro-rated for any partial use or termination of services. However, we strive to be fair and understanding. We may offer exceptions based on a thorough review of the situation and adherence to our Terms of Service. 

2.2.2.2 Use of Platforms: Clients agree to use LearnFire Unlimited’s platform and Google Classroom in accordance with all applicable laws and these Terms and Conditions.

2.2.2.3 Refund policy: Enjoy the flexibility to cancel at any time. We stand by our commitment with a 100% refund policy if you're not satisfied within the initial 30 calendar days of enrolment. Refund requests initiated after the initial 30 calendar days will not be entertained. 

2.2.2.4 Subscription Cancellation: Clients have the liberty to cancel your subscription at any time if the service falls short of expectations. On cancellation, you will not be entitled to receive a refund or credit of any fees already paid for your subscription.

2.2.3 LIVE LESSON REPLACEMENTS

2.2.3.1 At LearnFire, our commitment is to provide an enriching and dynamic learning experience for our students. We understand that flexibility is key to accommodating the diverse needs of our learners. Therefore, in the event that live lessons cannot be conducted as initially scheduled due to unforeseen circumstances, public holidays, technical issues, unexpected system outages, natural disasters, or any other situations that are beyond the control of the parties involved. LearnFire reserves the right to replace live lessons with pre-recorded video lessons, audio lessons, or written content of equivalent educational value.

 

2.2.3.2 Our primary goal is to ensure that the substitution maintains the high standard of quality and effectiveness that students expect from LearnFire. Rest assured, each alternative mode of content delivery will be thoughtfully curated, meticulously designed, and aligned with the learning objectives outlined in the curriculum.

2.2.3.3 Unfortunately, there may be occasions where we need to cancel or terminate early live lessons because of staffing availability, enrolment numbers, technical reasons, weather or other factors. We reserve the right to do so at any time, for any reason, without liability to you, but will always do our best to give you reasonable prior notice under the circumstances.

3. TERMS APPLICABLE TO LEARNFIRE ON-DEMAND

3.1 ADDITIONAL SERVICES PROVIDED APPLICABLE TO LEARNFIRE ON-DEMAND ONLY

 

3.1.1 LEARNING PLATFORMS

3.1.1.1 Udemy: Participants in the Learnfire On-Demand platform will receive online access to LearnFire’s online video courses on www.udemy.com. These courses on Udemy cover a wide range of topics, providing clients with valuable knowledge and skills.

​

3.2 ADDITIONAL TERMS OF SERVICE APPLICABLE TO LEARNFIRE ON-DEMAND ONLY

 

3.2.1 CLIENT ACCOUNTS

3.2.1.1 Clients must create an account on Udemy to access LearnFire’s on-demand video courses. Clients accounts are personal, and Clients are responsible for maintaining the confidentiality of their account information.

3.2.1.2 Clients agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2.1.3 By enrolling in LearnFire's on-demand video courses, clients commit to adhering to and comprehending all the Terms of Service outlined by Udemy.

​

3.2.2 CLIENT RESPONSIBILITIES

3.2.2.1 Payment: Client agrees to pay the fees associated with the selected service plan as outlined in the pricing agreement of Udemy. We may change existing pricing plans and charges, or add new fees or charges, at any time, but no such changes will be applied for which you have already paid for. 

3.2.2.2 Use of Platforms: Clients agree to use the Udemy platform in accordance with all applicable laws and all the Terms and Conditions outlined by Udemy.

3.2.2.3 Refund policy: All eligible courses purchased on our own websites or on Udemy can be refunded within 30 days, provided the request meets the guidelines of the Udemy refund policy. Certain restrictions may apply and some purchases may only be eligible for credit refunds. 

3.2.2.4 Subscription Cancellation: Clients have the liberty to cancel your subscription at any time if the service falls short of expectations. On cancellation, you will not be entitled to receive a refund or credit of any fees already paid for your subscription, unless otherwise required by applicable law. The client agrees to abide by these terms as outlined in the Terms of Use by Udemy.  

4. TERMS APPLICABLE TO ALL LEARNFIRE SERVICES

 

4.1 SERVICES PROVIDED

LearnFire provides access to its academic coaching for students enrolled in curricula including, but not limited to, KS2, KS3, IGCSE, A-Levels, IB MYP, IB DP and American Diploma curriculum, as well as Business English. The services include both in-person and online options, offering individual and/or private group lessons facilitated by exceptional educators.

 

Various software or online platforms carefully selected and approved by LearnFire may be utilised as supplementary tools for enhanced collaboration, content management, communication, scheduling, and conducting lessons.

 

4.2 TERM OF SERVICE

These Terms of Service will commence from the moment that payment is made or services commence, whichever is first, and will continue until terminated by either party with 30 days' written notice. Termination of services will not relieve the client of its obligations incurred before the effective date of termination.

4.3 CLIENT RESPONSIBILITIES 

4.3.1 Access and Hardware: Clients are responsible for ensuring access to the necessary hardware and internet connection to use LearnFire's platforms and associated tools.

4.3.2 Student Engagement: Clients acknowledge that the success of the academic coaching services depends on the active engagement and participation of the students and is not solely dependent on the quality of serivice delivered by LearnFire.

4.3.3 Prohibited activities: Clients shall not engage in any activity that disrupts the normal functioning of the various platforms or infringes on the rights of others.

4.4 INTELLECTUAL PROPERTY

4.4.1 LearnFire retains all intellectual property rights related to its platforms and services.

4.4.2 Clients retain ownership of any content or materials they upload to the platform, granting LearnFire a non-exclusive licence to use such content for the purpose of providing services.

 

4.5 PRIVACY

4.5.1 Client Privacy: LearnFire is committed to protecting Clients privacy. The Privacy Policy outlines the collection and use of personal information.

4.5.2 Data Security: LearnFire is committed to safeguarding the security of client data. We implement stringent measures to prevent unauthorised access, disclosure, or alteration of your information. Our security protocols include robust encryption, regular system audits, and continuous monitoring to ensure the highest level of data protection that are already built in to the platforms and online services that LearnFire uses. The trust of our clients is paramount, and we prioritise the confidentiality and integrity of your personal information.

4.6 LIMITATION OF LIABILITY

4.6.1 Damage Liability: You agree, on behalf of yourself, your student, and any other parent or legal guardian of your student ("other adult"), that LearnFire and its affiliates, and the respective owners, officers, employees, members, volunteers, interns, agents, and other representatives of LearnFire and its affiliates (the "other releasees"), shall have no liability to you, your student, or any other adult for any and all claims, damages, liabilities, injuries, costs, and expenses, including legal fees and costs, relating to or arising in any manner from your or your student's use of our sites, the information, or our services, including, but not limited to:

  • any security breaches or improper access to your or your student's personal information

  • any non-compliance with our privacy policy

  • any covid-19 or other viral or illness exposure or contraction related to in-person participation in any sessions

  • any injuries incurred in travel to and from or while at any such sessions

  • any flaws, omissions, or other issues with any of the information

​

4.6.2 Force Majeure: LearnFire is not liable for lesson cancellations due to unforeseen events beyond our control (e.g., natural disasters, pandemics, government restrictions). In such cases, we will offer to reschedule or conduct the lesson online (if possible). Full refunds are not available for force majeure cancellations.

​

4.7 GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with the laws of Portugal. In the event of any dispute arising out of or relating to the terms, the parties agree to the following structured dispute resolution process:

 

4.7.1 Negotiation: The parties shall first attempt to resolve the dispute amicably through good-faith negotiations. Either party may initiate this process by providing written notice to the other party, clearly outlining the nature of the dispute and proposed resolutions. The parties agree to engage in discussions promptly, and each party shall designate a representative with the authority to settle the dispute.

 

4.7.2 Mediation: If the dispute remains unresolved after the negotiation phase, the parties shall proceed to mediation. Mediation shall be conducted by a neutral third party mutually agreed upon by both parties or, in the absence of agreement, appointed by a recognized mediation service.The mediator's role is to facilitate communication, assist in identifying issues, and explore potential solutions. The mediation process is non-binding, and the parties retain the right to pursue other avenues of resolution if mediation is unsuccessful.

4.7.3 Arbitration: If mediation does not result in a resolution, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the Portuguese Commercial Arbitration Center (Centro de Arbitragem Comercial). The decision rendered by the arbitrator(s) shall be final and binding upon both parties. The party filing the complaint shall bear all costs of arbitration, including any legal fees and expenses, unless otherwise determined by the arbitrator(s).

 

4.7.4 Court Proceedings: If, for any reason, arbitration is not feasible or enforcement of the arbitrator's decision is necessary, the parties agree to submit to the exclusive jurisdiction of the competent courts in Lisbon, Portugal.

4.8 AMENDMENTS

The Terms of Service may only be amended in writing, and any changes will be emailed to current customers and posted on www.learnfire.org. Clients are encouraged to periodically review these terms for any updates to stay informed about any changes in LearnFire's Terms of Service.

​

4.9 TERMINATION CONDITIONS

LearnFire reserves the right to terminate services with any client under the following conditions:

4.9.1 Breach of Terms: If either party breaches any of the terms of service, then services can be terminated effective immediately without notice, which includes engaging in prohibited activities that compromise the integrity of LearnFire's platforms or services.

4.9.2 Mutual Agreement Termination: If both parties have been doing a good job and have stuck to the terms of service, then 30 days written notice is required to terminate services. 

4.9.3 Non-Payment: Failure to make timely payments for the subscribed services in accordance with the agreed-upon payment terms. Persistent non-payment despite receiving notices and reminders from LearnFire.

4.9.4 Unethical Conduct: Engaging in any form of unethical behaviour, including but not limited to plagiarism, cheating, or dishonesty during the learning sessions. Harassment or any behaviour that creates a hostile or unsafe environment for educators or fellow students.

4.9.5 Breach of Privacy: Unauthorised access, use, or sharing of personal information or data belonging to other clients, educators, or LearnFire itself. Violation of LearnFire's privacy policy and failure to adhere to data protection regulations.

4.9.6 Failure to Comply with Applicable Laws: Engaging in activities that contravene local, national, or international laws while using LearnFire's platform or services.

4.9.7 Disruption of Platform Functionality: Deliberate actions leading to the disruption of the normal functioning of LearnFire's platform or services. Any attempt to compromise the security, availability, or performance of the platform.

4.9.8 Misuse of Intellectual Property: Unauthorised use, reproduction, or distribution of LearnFire's intellectual property, including content, materials, or proprietary information.

4.9.9 Direct Compensation and Professional Boundaries: Establishing a direct commercial relationship with any LearnFire tutor, counsellor with LearnFire. This includes, but is not limited to, offering "bonuses" or additional payments for services provided outside of LearnFire's platform. Our professionals are ethically bound to refrain from accepting any direct compensation from clients. We kindly ask that you respect these boundaries and refrain from attempting to circumvent this policy.

4.10 TERMINATION PROCEDURE:

4.10.1 LearnFire will provide written notice to the client detailing the specific grounds for termination, unless either party breaches the terms of service, then services can be terminated effective immediately without notice.  

4.10.2 The client will have a specified period to rectify or address the identified issues, depending on the severity and nature of the violation.

4.10.3 If the issues are not resolved within the stipulated time frame, LearnFire reserves the right to terminate the services provided.

4.10.4 Termination will be effective immediately upon notification, and the client's access to LearnFire's platform and services will be discontinued.

4.10.5 By agreeing to these terms, clients acknowledge the importance of compliance and ethical conduct, and they understand the consequences outlined in the termination conditions.

4.11 ENTIRE TERMS OF SERVICES

4.11.1 LearnFire reserves the right to modify its Terms of Service. Clients will be notified of any changes in advance. Clients are encouraged to periodically review these terms for any updates to stay informed about any changes in LearnFire's policies.

4.11.2 You acknowledge that we cannot guarantee (and we specifically disclaim) you or your Student achieving any particular outcome, test score improvement, counselling or coaching satisfaction or other result from our Services. In the event you or your student are dissatisfied in any respect, you agree that your sole right and remedy is to terminate your use of our services. Refunds will not be provided unless we, at our sole discretion, agree to them in writing.

4.11.3 Your access to and use of our services and the information is at your sole risk and is provided on an "as is" and "as available" basis. We make no representation or warranty of any kind, express or implied, with respect to our services or the information, including, without limitation, any warranties of merchantability or fitness for a particular purpose.

 

4.11.4 By engaging in our academic coaching services and accessing LearnFire's platforms, the Client acknowledges that they have read, understood, and agreed to abide by these Terms and Conditions.

 

4.12 FURTHER LIABILITY WAIVER

4.12.1 Acknowledgment and Acceptance of Risks: By enrolling in and/or participating in lessons provided by LearnFire, the Client acknowledges and accepts that there are inherent risks involved in both online and in-person educational services. These risks include, but are not limited to, personal injury, property damage, privacy concerns, and technical issues.

4.12.2. Parental/Guardian Responsibility: If the student is a minor, a parent or guardian must be involved in the lesson process. A parent or guardian must be present in the home during the lesson. The parent or guardian is responsible for the supervision of the student and the environment in which the lesson takes place. The parent or guardian should ensure the student’s appropriate use of technology and the internet.

4.12.3. Safe Environment: The Client agrees to provide a safe and appropriate environment for lessons. This includes ensuring that the area where the lesson will take place is free from hazards and conducive to learning. The Client agrees to notify LearnFire of any potential risks or hazards in the home prior to the lesson.

4.12.4. Privacy and Boundaries: The Client acknowledges that lessons may take place in various areas of the home. Both online and in-person interactions require respect for privacy and maintenance of professional boundaries at all times. LearnFire teachers reserve the right to terminate a lesson if they feel uncomfortable or unsafe.

4.12.5. Disclaimer of Warranties: The online content and services and products provided by LearnFire are provided on an "as is" and "as available" basis. LearnFire makes no representations or warranties of any kind, express or implied, regarding the use or the results of these services in terms of their correctness, accuracy, reliability, or otherwise.

4.12.6. Limitation of Liability: LearnFire and its Teachers shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to any services or products, including but not limited to any injury, loss, or damage to persons or property, or any technical issues encountered during online lessons.

4.12.7. Indemnification: The Client agrees to indemnify, defend, and hold harmless LearnFire, its officers, directors, employees, and agents from any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to both online and in-person lessons, including but not limited to any injury, loss, or damage to persons or property.

4.12.8. Third-Party Content: LearnFire or its Teachers may provide links to third-party websites or resources during lessons. You acknowledge and agree that LearnFire is not responsible or liable for the availability or accuracy of such websites or resources, or the content, products, or services on or available from such websites or resources.

4.12.9. Educational Purposes: The content and services are intended for educational purposes only. LearnFire does not provide professional, financial, legal, or any other advice.

4.12.10. Health and Safety Protocols: The Client agrees to comply with all health and safety protocols recommended or required by local, state, or federal authorities for in-person services. This includes, but is not limited to, protocols related to COVID-19 or other contagious diseases. LearnFire teachers reserve the right to terminate a lesson if these protocols are not followed.

4.12.11. Emergency Procedures: In the event of an emergency during a lesson, the Client agrees to follow the Teacher's instructions and provide access to necessary emergency services.

4.12.12. Technical Requirements and Issues: The Client is responsible for ensuring that their internet connection, hardware, and software meet the technical requirements for accessing lessons or lesson material. LearnFire is not responsible for any technical difficulties that may occur during online lessons.
